Dave Martin is a member of the Corporate and Business Counseling Practice Group and Real Estate Practice Group.  He focuses his practice on corporate law, finance, and complex real estate transactions.

As a member of the Corporate and Business Counseling Practice Group, Dave represents financial institutions, private equity funds, family owned businesses, and middle-market companies in a variety of business and corporate matters such as corporate governance, capital raising, entity formation, lending and finance, and mergers and acquisitions.

In the Real Estate Practice Group, Dave represents real estate developers, lenders, and business owners in complex commercial real estate transactions, including acquisitions and sales, financing, development, and leasing.

Prior to joining Pedersen & Houpt, Dave obtained his Bachelor of Science in Management from Boston College and his J.D. from the University of Illinois College of Law, where he served as a Notes Editor for The University of Illinois Law Review.

 Representative Transactions

  • Represents a real estate development firm across multiple development projects involving the construction of proposed mixed use condominium towers, retail spaces, and parking developments, financed by acquisition and construction loan facilities totaling approximately $190 million in aggregate  
  • Along with other Pedersen & Houpt team members, serves as primary North American region real estate counsel for publicly-traded company in auto industry advising on all real estate matters ranging from day-to-day legal counseling, to acquisition, leasing and development of large-scale storage and processing facilities across the U.S. and Canada, as well as office leases for corporate facilities throughout the region
  • Represents regional lenders with all aspects of their commercial lending transactions
  • Represents a Chicago-based lender in its development and implementation of a Federal Reserve program supporting lending to small and medium-sized businesses during the COVID-19 pandemic
  • Represented owner in its successful completion a 1031 exchange involving sale of medical office buildings and purchase of commercial buildings each anchored by a Fortune 125 Tenant
  • Assisted private equity client in its acquisition of stock and assets (including intellectual and real property) of a veterinary pharmaceuticals company
  • Represented developer in its securing of a $35 million HUD loan in connection with the redevelopment of a multi-block downtown Dallas, Texas area
  • Serves as resource for small-businesses seeking to employ federal programming to combat COVID-19 hardship, including the Paycheck Protection Program
